Business Entities Essay

As the manager of Acme Fireworks, I need to gather information to help the owner determine whether or not he should continue to be a sole proprietorship or if he should switch to another business entity. I will help him do so by explaining each entity and how they relate to his business situation. I am the manager of Acme Fireworks, a fireworks retailer who sells fireworks, puts on ground display fireworks, and large aerial display fireworks. The company started in the owner’s garage two years ago and now has 15 employees that you manage. The company started as a sole proprietorship, and the owner has never changed the entity. The owner has informed me that the company has received inquiries from several large businesses wondering if the company could create several fireworks displays on a regular basis. The owner told the inquirers that the company could fill such display orders, and a price per display was agreed upon. It was discussed that most of the cost for a fireworks display is for skilled labor, insurance, and the actual service of setting off the fireworks. No other details were discussed. The owner is anticipating that new employees will need to be hired, but he is worried that if the large orders for fireworks displays do not continue, the company will not have the funds to pay the new employees. The owner is now considering changing the business entity, but he does not know what entity to form or how to form it. The owner has asked me to do the following: Determine if the contracts with the businesses will be governed by common law or the Uniform Commercial Code (UCC), and explain why. Analyze whether the owner formed a contract with the businesses, and apply the five essential elements of an enforceable contract. Explain the potential personal liability to Acme Fireworks if a spectator is injured by a stray firework  from a fireworks display. Discuss the different employment types and relationships relevant to agency law, and analyze the advantages and disadvantages of each type specific to Acme Fireworks. Explain why Acme Fireworks should not operate as a sole proprietorship. Recommend a new business entity, and provide rationale to support your recommendation. To address the first concern the owner’s contract should be Uniform Commercial Code (UCC) rather than Common Law due to the following: â€Å"Contracts law principles in general are uniformly understood and applied across the United States. Contract Law is governed b y the common law and the Uniform Commercial Code (UCC Contracts vs Common Law Contracts, 2014).† â€Å"Common Law would lead to rejections if any changes were made to the contract (quantities, counter offers, etc.). Its terms include quantity, price, performance time, nature of work and identity of offer. Common Law does not allow revoking of the option contracts† (UCC vs Common Law, 2014). â€Å"Common Law is primarily used in real estate and the law is made by the decisions of judges in individual cases† (Rogers, 2012). â€Å"In Uniform Commercial Code (UCC) minor changes do not have any impact and the original contract does not get canceled. The quantity is the main focus of the term in UCC. Offers made by a firm are irrevocable if the deal is made in writing in UCC† (UCC vs Common Law, 2014). â€Å"Uniform Commercial Code is a statutory law for certain types of commercial transactions, including sales of goods, which has been adopted by all 50 states. Many of its rules are similar to Common Law, but it contains important differences† (Rogers, 2012). After reviewing both types of contracts I would advise the owner of Acme Fireworks to enter into a Uniform Commercial Code contract rather than a Common Law contract because it is a better type of contract for commercial needs. The next thing I am supposed to do is to analyze whether the owner formed a contract with the businesses, and to apply the five essential elements of an enforceable contract. â€Å"A contract is a legally enforceable agreement. A contract comes into existence from the voluntary assent of two or more individuals to enter into a legally binding agreement. Mutual accord is crucial to the formation of a contract. One party, referred to as the offeror, makes an offer –a business proposition- to another; the other, known as the offeree, accepts. Provided that the other three requirements are present (consideration, capacity, and legality), a valid contract is formed.† (Rogers, 2012) The  five elements of a contract are as follows: 1. Offer 2. Acceptance 3. Consideration 4. Legality 5. Capacity According to the owner of Acme Fireworks, an offer was made and accepted, they discussed price and display orders, labor and insurance, and they were all of sound mind. Whether or not the owner of Acme Fireworks realizes it or not, he has entered into an enforceable contract. The next thing I will get into is the personal liability aspect. At this moment in time Acme Fireworks is a sole proprietorship; this means that if a spectator is injured by a stay firework from a firework display the owner is fully responsible. In other words, his personal assets are not protected and could be sold to pay for the injuries that occurred. There are several different types of business entities that would better protect the owner’s assets if something like this would occur. â€Å"A sole proprietorship is the simplest form under which one can operate a business† (The Basics of Sole Propreitorships, 2014). It is not a legal entity and the person that owns the business is personally responsible for its debts. A partnership has at least two partners. In a general partnership, both parties would be equally liable for the businesses debts. In a limited partnership one partner would be the liable party and the others would just lose their investments. A Limited Liability Corporation (LLC) is sort of the middle ground. In an LLC the business is responsible for its own debts and the people that make up the LLC are not. (LLC Basics, 2014) This means that all of the businesses assets can be liquidated, but the owners personal assets cannot. A Corporations liability is equal to that of an LLC, but it is normally very large businesses that are interested in marketing that run corporations. It is for people who want their business or idea to go public. â€Å"A corporation is the most common form of business organization, and one which is chartered by a state and given many legal rights as an entity separate from its owners† (Investor Words, 2014). A Corporation is the most expensive form of business entity. According to all of the data that I have gathered about this business, I believe, as the manager of Acme Fireworks that it is best to change the business from a sole proprietorship to a Limited Liability Corporation (LLC). I think that this is the best way to go because the product that we are selling does have some potential danger and someone could get injured. As of right now if someone was to get injured then the owner of Acme Fireworks would be held responsible. With the population still growing by about 80 million each year, it is hard not to be alarmed. Right now on Earth, water tables are falling, soil is eroding, glaciers are melting, and fish stocks are vanishing. If developing countries follow the path blazed by wealthy countries such as clearing  forests, burning coal and oil, scattering fertilizers and pesticides, they too will be stepping hard on the planet’s natural resources. How exactly is this going to work? At certain time periods in history, a high fertility rate was important. In 18th-century Europe or early 20th-century Asia, when the average woman had six children, she was doing what it took to replace herself and her mate, because most of those children never reached adulthood. When child mortality declines, couples eventually have fewer children but that transition usually takes a generation at the very least. Today in developed countries, an average of 2.1 births per woman would maintain a steady population; in the developing world, â€Å"replacement fertility† is somewhat higher. In the time it takes for the birth-rate to settle into that new balance with the death rate, population explodes. The good news is high fertility rates currently only occur in around 16 per cent of the world’s population and mostly in Africa, according to Hania Zlotnik, director of the UN Population Division. In most of the world, however, family size has shrunk dramatically. The UN projects that the world will reach replacement fertility by 2030. â€Å"The population as a whole is on a path toward non-explosion which is good news,† Zlotnik says. The bad news is 2030 is two decades away and the largest generation of adolescents in history will then be entering their childbearing years. Even if each of those women has only two children, population will coast upward under its own momentum for another quarter of a century. The study purposely examines the use of frames in media reporting of femicide stories. the media routinely utilize neighbors who may not know the victim and/or perpetrator particularly well, rather than close friends or family members, as sources in instances of domestic violence. The new research question by Gillespies, Richards, Givens and Smith was based on prior research of the representation of femicide in the news and its use of frames used in media coverage making the data quantitative. There are five media frames specifically associated with domestic violence, which include (1) focusing on the behavior of the victim, including blaming the victim or excusing the perpetrator; (2) normalizing the event as commonplace; (3) suggesting the incident was an isolated event; (4) indicating the victim and/or perpetrator are somehow different from the norm; and (5) asserting that domestic violence perpetrators are disordered and should be easily identifiable. The researchers examined the validity of these existing by examining the components of additional media frames-the sources used, language and word choice, and the context of the incident-in a sample of North Carolina newspaper stories. This research study used the time dimension of trend logical study for articles that present the femicide as domestic violence and those that do not. Why is it that so many kids decide that ditching school on a fairly consistent basis and/or not caring at all about their grades is the right thing to do? You're a fool to tell me that the sole point of going to school is to see and gossip about other people with your friends. An education is the gateway to future success. The kids who don't care about school (all too many) are living for the moment, and not thinking about the long run. Instead of channelling their energies into studying, they instead take the easy way out and have fun. Who wants an incompentant oaf for President? Kids don't care about themselves. Why is it that so many kids decide that injecting themselves with various chemicals is the right thing to do? The second sad trait to this is that other, "normal" (meaning non-sheep and non-rebels) people take to liking these individuals, whether it be as friends or romantically. How a rational-thinking person can identify with these out-of-touch miscreants is beyond my comprehension. The so-called rebels act ridiculously outlandish, only to inexplicably generate positive responses from their sickening behavior from others. The rebels crave attention, and the way that they get it is through their ludicrous conduct. God forbid if they don't draw any attention... Immanuel Kant was a German philosopher from the 18th century, who put forward a new theory of morality. We don’t see the toxic poisons accumulating in the food chains, poisoning our children and our earth for generations to come. But once we become aware of the impact of our food choices, we can never really forget (Robbins, 57). There are a lot of things to consider when it comes to making our food choices. One of the biggest nutritional problems plaguing America today is the issue of obesity. One of the factors is a high intake of food that is high in saturated fat. Our bodies can make all the saturated fat we need, so we don't need to eat any of it. That's why saturated fat can be in the bad category—because we don't need to eat any of it, and it has undesirable effects in cardiovascular disease. In the United States and other developed countries, saturated fats come mainly from meat, seafood, poultry with skin, and whole-milk dairy products (cheese, milk, and ice cream). A few plant foods are also high in saturated fats, including coconut and coconut oil, palm oil, and palm kernel oil. Saturated fats boost total cholesterol by elevating harmful Low Density Lipoprotein. Like all dietary fat, saturated fat also raises the protective High Density Lipoprotein. Unsaturated fat is much preferable since it lowers the bad cholesterol and raises the good. When picking what to eat, take into consideration the amount of cholesterol and saturated fat you are putting into your body. Another thing to consider may be, for meat eaters, where the meat is coming from. There is the issue of the morality of eating meat. Animals have rights, and no matter how humanely an animal is treated in the process, raising it and killing it for food remains morally wrong. There is yet the issue of animal cruelty. More than 16 billion are killed for food every year in the US alone. They are neglected, mutilated, genetically manipulated, put on drug regimens that cause chronic pain and crippling, transported through all weather extremes, and killed in gruesome and violent ways. Even so called â€Å"free-range† animals are often mutilated without the benefits of painkillers; kept in filthy, disease-ridden sheds; forced to endure long trips to the animal slaughterhouse without food or water; and killed in the same way as animals from factory farms. It’s important to know whether the meat you are eating is from a reliable source. In addition to this, the world’s meat addiction is poisoning and depleting our drinking water, arable land, and clean air. More than half of the water used in the U.S. goes to animal agriculture, and since farmed animals produce 130 times more excrement that humans do, the runoff from their waste greatly pollutes our waterways. Not only does raising animals for food gobble up precious resources and produce tons of waste, it also steals food from hungry people. Raising animals for food is extremely inefficient.   For every pound of food that they eat, only a fraction of the calories are returned in the form of edible flesh. The problem comes in when people stop caring about all these issues and just eat for the sake of pleasing themselves. While eating one day, I found myself wondering about the people who had grown the vegetables on my plate. What were their lives like?
